Terms of Service

These Terms of Service ("Terms") govern your use of the Rummage mobile application and website (collectively, the "Service") and are an agreement between you and City Pine Club LLC, a California limited liability company ("Rummage", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 13 years old and agree to comply with these Terms. If you do not agree, do not use the Service.

2. Description of Service

Rummage is a curated vintage shopping platform that helps you discover and save secondhand items. We aggregate listings from third-party marketplaces and provide personalized and AI-assisted recommendations based on your style preferences. We may modify, suspend, or discontinue the Service at any time without notice, and we are not liable to you for any such changes.

3. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information during registration.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account at legal@rummage.app.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to interfere with, compromise, or disrupt the Service or its servers.
  • Scrape, crawl, or use automated means to access the Service without our prior written permission.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Upload or transmit viruses, malware, or other harmful content.
  • Violate any applicable local, state, national, or international law.

5. User Content

By saving, sharing, or otherwise submitting content through the Service ("User Content"), you grant Rummage a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, reproduce, and distribute that content solely to operate and improve the Service. You represent that you have all rights necessary to grant this license. We do not claim ownership of your User Content.

6. AI and Recommendation Features

The Service may use automated systems and AI-assisted models to rank, organize, and recommend listings. These outputs may be inaccurate, incomplete, outdated, unavailable, or not suited to your preferences. Recommendations are provided for informational and convenience purposes only, and you are solely responsible for evaluating any third-party listing before making a purchase decision.

7. Third-Party Content, Listings, and Transactions

Rummage displays product listings sourced from third-party marketplaces. We do not own, sell, offer, fulfill, inspect, store, ship, warranty, or endorse these items. We do not endorse any third-party sellers or listings. All purchases occur directly through the applicable third-party platform, and that platform's terms, privacy policy, pricing, shipping, returns, authenticity determinations, item condition disclosures, and dispute processes govern those transactions. We are not responsible for the accuracy, availability, legality, quality, safety, authenticity, pricing, shipping, returns, or quality of third-party listings or transactions. Listings may be modified or removed at any time without notice.

8. Affiliate and Referral Disclosure

We may earn affiliate commissions, referral fees, or other compensation when you click on or make purchases through certain third-party links or listings. This does not change the price you pay unless disclosed by the third party.

9. App Store Terms

If you access the Service through Apple's App Store or Google Play, you acknowledge that:

  • These Terms are between you and Rummage only, not Apple or Google.
  • Apple and Google have no obligation to provide maintenance or support for the Service.
  • Apple and Google are third-party beneficiaries of these Terms and may enforce them against you.
  • Your use is also subject to the applicable app store's terms of service.

10. Intellectual Property

All content, features, and functionality of the Service (including text, graphics, logos, and software) are owned by Rummage or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT ANY LISTING, RECOMMENDATION, OR THIRD-PARTY CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RUMMAGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Rummage and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party rights.

14. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 10 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 15 (Dispute Resolution and Arbitration), and 18 (General) survive termination.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution: Before filing any formal legal action, you agree to contact us at legal@rummage.app and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If the dispute is not resolved informally, you and Rummage agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in San Francisco, California, or by video conference. The arbitrator's decision will be final and binding. Rummage will pay all JAMS filing and administrative fees for claims under $10,000, unless the arbitrator determines the claim is frivolous.

The Federal Arbitration Act governs the interpretation and enforcement of this section.

Exceptions: Either party may seek emergency injunctive relief in a court of competent jurisdiction. Claims related to intellectual property disputes are excluded from this arbitration requirement.

Class Action Waiver: YOU AND RUMMAGE AGREE THAT EACH MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.

If the class action waiver is found unenforceable for a given claim, that claim must proceed in court and not in arbitration.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the app and on our website, and where required by law, by sending you a direct notification. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Subject to the arbitration clause above, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, for any dispute not subject to arbitration.

18. General

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rummage regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign these Terms. We may assign them without restriction.
